ACC announces that its Board of Directors has voted to spin off the Company's SMR properties which it had acquired and operated over the past 20 years.

Holmdel, New Jersey - ACC today announced that its Board of Directors has voted to spin off the Company's SMR properties which it had acquired and operated over the past 20 years. The company said the spin off is subject to favorable tax rulings. ACC expects to transition its spectrum holdings and operational duties to Direct Connect USA, (DCI) a wholly-owned subsidiary of ACC by year end.

ACC said the spin off is consistent with the company's recent decision to restructure into two Divisions, Wireless Engineering/Technologies and Wireless Facility Construction and Management. Its remaining SMR operations will be assumed by DCI. It will better enable Direct Connect USA to expand their spectrum holdings in New Jersey, New York, Pennsylvania and Delaware and will increase subscriber sales.

"ACC has enjoyed a longtime business relationship with its Subscribers to which the company has provided service to for more than 20 years, "said Michael W. Schmidt, ACC founder, President & CEO. "Fortunately this decision will allow Direct Connect USA, to vigorously continue the expansion of its existing service area, while enabling DCI to transition its service offerings to an advanced radio dispatch platform."
